(s) 许可。就任何集团公司所知，每一集团公司具有其开展现有业务所需的所有特权、许可、执照和类似授权，缺少上述授权将带来根本不利影响，公司相信其能取得其计划开展的业务所需的类似授权并不需承担不当的负担或费用。集团公司在实质方面未违反上述特权、许可、执照或其他类似授权。
(t) 雇员。集团公司未与其雇员签订集体合同。就本公司所知，不存在工会组织的与本公司冲突的活动。除本协议规定的期权授予计划外，集团公司目前未签订任何雇佣合同、延期补偿协议、奖金计划、激励计划、利润分享计划、退休协议或其他雇员赔偿计划或协议。任何集团公司未授予其任何雇员持续雇用权或在雇用结束后给予实质补偿的权利。就本公司及发起人所知，任何集团公司的任何雇员或与之签订合同的顾问均未违反雇佣合同、专有信息协议或其他与该雇员因公司将开展的业务的性质而被公司雇用或与公司签订合同的权利有关的任何规定；就公司所知，任何集团公司对其现有雇员的持续雇用以及本公司履行其与独立缔约人签订的合同的行为均不构成上述违反。集团公司尚未收到任何声称发生上述违反的通知。任何集团公司未授予其任何雇员持续雇用权或在雇用结束后给予实质补偿的权利。集团公司不知晓任何管理人员、核心雇员或核心雇员团体欲终止其与公司的雇用关系，任何集团公司亦不打算终止其与管理人员、核心雇员或核心雇员团体的雇用关系。每个集团公司已按照全部的员工福利计划做出全部必要的投入，包括但不限于按照中华人民共和国社会保险和居住方案必须投入的资金，并已在所有的重要方面遵守了与员工福利计划有关的任何国家和地区的全部可适用的法律。

(s) Permits. To the knowledge of any Group Company and the Founders, each Group Company has all franchises, permits, licenses, and any similar authority necessary for the conduct of its business as now being conducted by it, the lack of which would have a Material Adverse Effect, and believes it can obtain, without undue burden or expense, any similar authority for the conduct of its business as presently planned to be conducted. No Group Company is in default in any material respect under any of such franchises, permits, licenses or other similar authority.
(t) Employees. No Group Company has collective bargaining agreements with any of its employees. There is no labor union organizing activity pending or, to the Company’s knowledge, threatened with respect to the Company. No Group Company is a party to or bound by any currently effective employment contract, deferred compensation arrangement, bonus plan, incentive plan, profit sharing plan, retirement agreement or other employee compensation plan or agreement, other than the Plan and option grants thereunder. No employee of any Group Company has been granted the right to continued employment by any Group Company or to any material compensation following termination of employment with any Group Company. To the Company’s or the Founder’s knowledge, no employee of any Group Company, nor any consultant with whom any Group Company has contracted, is in violation of any term of any employment contract, proprietary information agreement or any other agreement relating to the right of any such individual to be employed by, or to contract with, any Group Company because of the nature of the business to be conducted by the Company; and to the Company’s knowledge the continued employment by each Group Company of its present employees, and the performance of any Group Company’s contracts with its independent contractors, will not result in any such violation. No Group Company has received any notice alleging that any such violation has occurred. No employee of any Group Company has been granted the right to continued employment by any Group Company or to any material compensation following termination of employment with any Group Company. No Group Company is aware that any officer, or key employee, or that any group of key employees, intends to terminate his, her or their employment with any Company Company, nor does any Group Company have a present intention to terminate the employment of any officer, key employee or group of key employees. Each Group Company has made all required contributions under all the employee benefit plans including without limitation all contributions required to be made under the PRC social insurance and housing schemes, and has complied in all material respects with all applicable laws of any jurisdiction, in relation to the employee benefit plans.
