A record will be written and signed by both parties. It will be considered as record of final acceptance if Umicore formulates no objections.

In the period between Commissioning and Final Acceptance, Umicore is free to use the Equipment, how imperfect the Equipment might be, if the equipment is safe to use. Industrial use of the Equipment will never be considered as an implicit Final Acceptance.

5.2. Additional data concerning the prices 关于价格的附加信息
5.2.1. The above prices are firm and not subject to revision.

5.2.2. Though the undertaking includes the complete work according to the technical specifications and drawings, it is possible that the Supplier will be requested to perform unforeseen work.

This additional work may only be performed on the basis of new drawings or drawings modified with respect to those related to the order and with prior written order from Umicore.

5.2.3. Indemnification 赔偿
5.2.6.1. Delayed delivery 延迟交货
If the Equipment is not delivered by the foreseen date (end May 09) due to the Supplier (see par. 2.3.1.), he shall pay to Umicore, by way of indemnification, the following agreed indemnity:
若因供应商原因（见条款2.3.1.），设备未于预期日期（09年5月底）前交付，供应商将支付优美科如下约定赔偿：
- 1 % of the total amount of the contract, per started week of delay, during the first 4 weeks (starting week 23, 2009),
- 自延迟那周开始，在4周内（自2009年第23周开始）起，赔偿合同总金额的1 %。
- 2 % of the total amount of the contract, per started week of delay during the following 3 weeks
- 在接下来的3周内，赔偿合同总金额的2%。
- with a maximum of 10 % of the total amount of the contract.

This agreed indemnity is always applied for the global amount Equipment. It is automatically due without prior summons.

Notwithstanding this agreed indemnity Umicore shall be entitled, if the term of delivery is more than 8 weeks late, to cancel this contract by registered letter and to refuse all of the Supplier’s deliveries and performances, in accordance with Article 4.2.3 hereabove.
