The assembling, installation and commissioning will be done by the Supplier and will start at the latest within one month after arrival of all parts. Target date for commissioning is July 15, 2009.

Both parties will sign the Final Acceptance protocol.

3. Guarantees 保证
3.1. General guarantees

3.1.1. The material, the Equipment and their accessories supplied by the Supplier and/or by his subcontractors shall completely meet the Technical Specifications of this order and be constructed with first class materials, completely new.
供应商和/或其分包商所提供的材料、设备及其附件应全部符合此订单中的技术规格要求，并用全新的一等材料制造。
All the parts shall be free from any defect or deficiency that could compromise the safety, the good operation or the durability of the Equipment.
所有部件均不应有牺牲安全性、良好操作性或设备耐久性的不良或缺陷。
3.1.2. The Equipment is guaranteed for 12 months from the date of Final Acceptance against any defaults of conception, materials, construction or operation (at the latest 18 months after delivery, if the commissioning is delayed due to us).
机器任何设计、材料、制造或操作的质量保证期为12个月，自最后接收之日起算。（若因我方原因造成调试延迟，质量保证期为装运后18个月）。
During this period, replacements or modifications will be realised within the shortest period of time and the relevant costs (including transport, disassembling and reassembling, travel and stay and achievements of your personnel etc.,...) will be entirely borne by Supplier.
自此期间，更换或修正应在最短时间内完成，相关成本（包括交通、拆卸和重装、贵方人员的差旅、住宿及福利等，...）均由供应商负责。
Simultaneously the Supplier guarantees the repaired, modified or replaced spare parts during a new period of 12 months as from the new commissioning.
同时，供应商保证，维修、修正或更换备件的质量保证期为重新调试后的12个月。
This will be subject of a special record of acceptance.
这将构成一个特殊的接收记录。
If after notification by Umicore, after summons by means of a registered letter left without any satisfactory follow-up within 48 hours after the receipt of said letter, the Supplier were still to refuse to proceed immediately with the required repairs, modifications, replacements, etc... Umicore reserves its right to proceed with the required works or supplies, all at the cost, risks and responsibility of the sole Supplier.
若在接到优美科的通知，并接到优美科通过挂号信的传唤后48小时内，供应商没有采取满意行动，并仍然拒绝立即行动进行必要修理、修正或更换等...优美科保留采用必要操作和供给品进行弥补的权利，所有成本，风险和责任全由供应商承担。
A good quality of first line maintenance training is in both parties’ interest: it avoids that Umicore has to call the Supplier for small problems. Both parties will agree a list of works (maintenance and repairs) that Umicore can perform during the guarantee period, without compromising the guarantee clauses. For not listed works that Umicore want to perform to speed up the repairs and to avoid extra costs for Supplier, Umicore will inform Supplier of the intended work. If Umicore proceeds the proposed works with Supplier’s approval, Umicore will be considered as Supplier’s subcontractor. This means that the work is covered by the guarantee clause and can be accounted to Supplier.
一次高质量的一线维修培训对双方都有益：这将避免优美科因为小问题召唤供应商。双方同意一份优美科能在质量保证期内进行维护和修理的工作清单，而这并不损害保修条款。对于清单中未列明的工作，若优美科想加快修理进度并避免供应商的额外费用，优美科将通知供应商准备做此工作。若优美科在得到供应商同意后进行此工作，优美科将被视为供应商的分包商。这意味着此工作受保修条款约束，可以计入供应商维修。
3.2. Performance guarantees 性能保证

3.2.1. Pre-acceptance tests (at supplier site in China)

- Mechanical performance (Checking minimum and maximum values of furnace performance according to the supplier specification – SL Rate, Seed Jog Speed, Seed Rotation, Total Seed Travel, Crucible Lift Rate Crucible Jog Speed, Crucible Rotation, Total Crucible Travel)

4. Control - Acceptance – Transfer of Risk and Property

4.1. Control by an Official Control Organisation recognised in USA
由美国国内认可的官方控制组织进行控制
4.1.1. All legal controls are borne by the Supplier who will do the needful therefor.
供应商应做必需的控制，法定控制由供应商承担。
4.1.2. Moreover Umicore can entrust a competent organisation with the Umicore control tests. The costs for the first inspection are borne by Umicore; the costs for further inspections due to non-satisfactory results during the first inspection are borne by the Supplier.
并且，优美科可以委托一个胜任的组织进行优美科控制测试。第一次检测费用由优美科承担，若因第一次检测不合格而产生的进一步检测费用由供应商承担。
The Supplier shall remedy in the shortest possible time all defects or shortcomings. All repairs, adjustments and replacements are borne exclusively by the Supplier (Equipment, hourly wages, travelling expenses, etc.,...).
供应商应在最短的可能时间内修补所有不良和缺陷。所有修理、调整和更换均由供应商单独承担（设备、工时费、差旅费等，...）。

Final acceptance will take place at the Supplier’s written request, immediately after commissioning at Umicore’s facility

The final acceptance will concern:

- completion of all the connections (electrical, pneumatic, hydraulic, ...)

- completion of good operation of each individual machine and after that of the whole of the installation (vibrations, noise, heat, etc, ...)
- 每个单一机器完成良好运行，之后全部安装完成良好运行（振动、噪声、发热等）
- conformity with the drawings, specifications and conditions of the order
- 与本订单图纸、规格及条件相符
- completion of the performance guarantees (see par. 3.2); these will be measured during 10 working days of normal continuous industrial operation.
