NOW, THEREFORE, for and in consideration of the premises and of the mutual covenants and agreements herein contained, IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

For the conduct of the works and deliveries executed on behalf of UMICORE, our General Conditions (Enclosure IV) and the present Special Conditions are valid, to the exclusion of all other conditions of the Supplier and particularly of those shown on the offers, letters, advices of despatch, confirmations, invoices and other documents which have not been explicitly accepted in writing by Umicore.

Umicore will supply vacuum pumps upon Suppliers’ specifications. Supplier’s specifications will be sufficiently detailed to allow Umicore correct procurement and will be provided to Umicore not later than 1 month after the order. Supplier guarantees the correct operation of the Equipment if Umicore’s vacuum pumps are according to Supplier’s specifications.
优美科将根据供应商的规格提供真空泵。供应商规格应足够详细，以使优美科能正确采购真空泵。规格应在本订单一个月内提供给优美科。若优美科的真空泵符合供应商规格，供应商应保证设备能正确操作。
1.1.2. Software: Supplier shall deliver detailed documentation in English how to operate the control software of the PLC.
软件：供应商应提供如何操作可编程控制器（PLC）的控制软件的详细英文文档。
1.1.3. Commissioning and assistance for Final Acceptance at Umicore Quapaw site. Supplier will assist commissioning and Final Acceptance testing : cost of board & lodging + round trip ticket for installation engineers (max2) is to be charged to the Buyer.
调试和协助最后接收在优美科夸保现场进行。供应商应协助调试和最后接收测试：买方负责安装工程师（最多2个）的食宿及往返机票。

The Supplier will bear alone the entire responsibility of any delay in our services, or of any claim from third party against Supplier in case he wholly or partly omits to indicate all or part of our references here above on any document he will communicate to us.
若供应商在与我方沟通的任何文档中全部或部分遗漏全部或部分上述我方编号，从而造成对我方服务延迟，或引起第三方向供应商索赔，供应商应单独承担全部责任。

一份标明尺寸的各不同组件的综合平面图，标记全部所需信息以使优美科绘制图纸给国内工程师（支持、修理系统等，...; 支持装料等，..）。
2.1.1.2. Process and Instrumentation Diagram (P&ID)

Pre-installation notice: Facilities, space, and utilities required for the normal running and operation of the Equipment, including specifications of environmental parameters that can influence the performance and safety of the Equipment (such as, temperature limits, vibrations, electro-magnetic radiation).
