第9条 其他费用
Art.9 Other Expenses
9.1 因与本协议有关的资信调查、检查、公正等合理费用，由乙方承担。甲方应在乙方确认费用项目与金额，并经乙方书面授权后，从乙方在甲方的银行账户中扣除。如有不足之数，乙方保证在收到甲方的通知后如数偿还。
Party B shall undertake the rational expenses of the credit survey, inspection and notarization related to the agreement. Party A shall deduct the expenses from Party B’s bank account in Party A after confirming the expenses items and amount with Party B and being authorized by Party B. In case of any insufficiency, Party B guarantees to repay such amount to the achieved quota after receipt of Party A’s notice.
9.2 在乙方不能按期归还本协议项下所欠甲方债务的情况下，甲方为实现债权而进行仲裁产生的费用，按本协议第13条中的相关规定执行。

第10条 违约事件及处理
Art. 10 Breach of Agreement and Disposal Thereof
10.1 乙方出现下列情形之一者，即视为已发生违约事件：
Party B shall be deemed to have breached the agreement in any of the following circumstances:
10.1.1 违反本协议第6.2.1条规定义务，向甲方提供虚假的情况或隐瞒真实的重要情况，不配合甲方的调查、审查和检查；
Party B offers false information or conceal important facts to Party A, or fails to cooperate with Party A during investigation, examination and inspection, which is in violation of the obligations provided for in Art. 6.2.1 of the agreement.
10.1.2 违反本协议第6.2.2条规定义务，不接受或逃避甲方对其使用信贷资金情况和有关生产经营、财务活动的监督；
Party B does not accept or evade supervision by Party A over its use of credit funds, and relevant production, business and financial activities, which is in violation of obligations provided for by Art, 6.2.2 of the agreement.
10.1.3 违反本协议第6.2.3条规定义务，未按本协议及各具体合同约定用途使用贷款及/或其他授信；
Party B fails to use the loan and/or other credit according to the purposes provided for in the agreement and various specific contract, which is in violation of obligations provided for in Art. 6.2.3 of the agreement.
10.1.4 违反本协议第6.2.4条规定义务，未按本协议及/或各具体合同约定按时足额偿还贷款、垫款和其他授信债务本息的；
Party B fails to repay the principal and interest of the loan, advanced money and other credit to the achieved quota on time according to the provisions of the agreement and various specific contract, which is in violation of the obligations in Art. 6.2.4 of the agreement.
10.1.5 违反本协议第6.2.5条规定义务，擅自单方面将本协议项下债务转让给第三人；或违反本协议第6.2.7条规定义务，怠于管理和追索其到期债权，或以无偿及其他不适当方式处分现有主要财产；
Party B transfers the debts under the agreement to a third person unilaterally without authorization in violation of obligations under Art. 6.2.5 of the agreement, or dawdles over managing and recovering due creditor’s rights, or dispose of major existing properties without compensation or in other improper manners, which is in violation of the obligations in Art. 6.2.7 of the agreement.
10.1.6 违反本协议第6.2.6条规定义务，在发生该条规定的情况时，不及时通知甲方，或甲方得知乙方发生该条规定的情况后，要求乙方增加本协议项下债务偿还的保障措施，乙方不配合的，或甲方认为不利于授信本息安全收回的；
Party B violates the obligations provided for in Art. 6.2.6 of the agreement, and fails to inform Party A in time in such case, or Party B fails to provide cooperation when Party A requires Party B to increase the guarantee measures for repayment of the debts under the agreement after being aware of such circumstances on the part of Party B, or Party A deems that such circumstances are unfavorable for safe recovery of the principal and interest of the credit.
10.1.7 违反本协议第8.1、8.2、8.5条，或违背第8.3、8.4、8.6、8.7、8.8、8.9条，未按甲方要求立即纠正；
Party B violates Art. 8.1, 8.2 and 8.5 of the agreement, or 8.3, 8.6, 8.7 , 8.8 or 8/9, and fails to rectify its acts immediately as required by Party A;
