7.1.6甲方能够提供受益方开具的要求甲方在24小时内代乙方清偿债务的书面证明，在乙方收到清偿本协议及各具体合同项下所欠到期债务书面通知后一个工作日，未完成债务清偿，有权直接从乙方账户上扣款，用于偿还乙方在本协议及各具体合同项下所欠债务；
Party A can provide the written certification issued by the beneficiary for requiring Party A to repay the debts on the behalf of Party B within 24 hours. In case Party B fails to pay off the debts within one business day after receipt of the written notice on repayment of the due debts under the agreement and various specific contract, Party A shall have the right to directly deduct payment from Party B’s account for repayment of the debts Party B owes under the agreement and various specific contract.
7.1.7甲方未提供受益方要求甲方代乙方具体清偿期限，在乙方收到清偿本协议及各具体合同项下所欠到期债务书面通知后3个工作日，未完成债务清偿，有权直接从乙方账户上扣款，用于偿还乙方在本协议及各具体合同项下所欠债务；
Where Party A fails to provide the specific term of repayment by Party A on behalf of Party B as required by the beneficiary, Party A shall have the right to directly deduct payment from Party B’s account for repayment of the debts Party B owes under the agreement and various specific contract in case Party B fails to repay the debts within 3 business days after receipt of the written notice on repayment of the due debts under the agreement and various specific contract.
7.1.8 有权转让其对乙方拥有的债权，并有权采取其认为适当的方式，包括但不限于传真、邮寄、专人送达、在公众媒体上公告等方式通知乙方转让事宜，以及对乙方进行催收。
Party A shall have the right to transfer the creditor’s rights it enjoys toward Party B, and take measures it deems appropriate, including but not limited to fax, mail, service in person or public announcement in public media etc. to notify Party B of the transfer, and urge payment from Party B.
7.1.9 其他本协议规定的权利。
The other rights provided for in the agreement
7.2 甲方承担如下义务：
Party A shall undertake the following obligations:
7.2.1 按本协议及各具体合同规定的条件在授信额度内向乙方发放贷款或提供其他授信；
Release loan or offer other credit to Party within the line of credit according to the conditions provided for in the agreement and various specific contract;
7.2.2 应当对乙方的资产、财务、生产、经营情况保密，但法律法规另有规定和监管机构另有要求者除外。
Keep the information on Party B’ assets, finance, production and business etc. in secrecy, except otherwise provided for by the law or required by the supervisory organ;
7.2.3 甲方有义务在受益方要求甲方代乙方清偿债务当日告知乙方。
Party A is liable to inform Party B on the day of debt repayment by Party A on behalf of Party B as required by the beneficiary;
第8条 乙方特别保证如下事项
Art.8 Party B specially guarantee the following issues:
8.1 乙方是根据中国法律正式成立并合法存在的，属合格的商事主体实体，且获得总部的相应授权，有充分的民事行为能力签订和履行本协议；

8.2 签订和履行本协议已获得董事会或任何其他有权机构的充分授权；
Party B has obtained sufficient authorization from the Board of any other organ of power for signing and performing the agreement.
8.4 严格遵守各具体合同及其签署给甲方的开证承诺书、信托收据及其他相关文件的约定。
Party B will strictly abide by the provisions of various specific contract and the letter of commitment on opening letter of credit, trust receipt and other relevant documents it has executed and issued to Party A.
8.5 在签订本协议时没有发生可能对乙方或乙方主要财产产生重大不利后果的诉讼、仲裁或刑事、行政处罚，并在本协议执行期间也不会发生此种诉讼、仲裁或刑事、行政处罚。如有发生，乙方应立即通知甲方；
There is no lawsuit, arbitration, or criminal or administrative punishment that may cause serious adverse consequences to Party B or its major properties upon signing the agreement, and there will not be such circumstances during performance of the agreement, otherwise Party B shall inform Party A immediately.
8.6 在经营活动中严格遵守国家各项法律法规，严格按照乙方营业执照规定的或依法核定的经营范围开展各项业务，按时办理注册年检手续；
Party B will strictly abide by various state laws and rules during business activities, and carry out various business and go through formalities for registration and annual check on time in strict accordance with the scope of business provided for by the business license of Party B or the law.
8.7 保持或提高现有经营管理水平，确保现有资产的保值增值，不放弃任何已到期债权，也不以无偿或其他不合适方式处分现有主要财产；
Party B will maintain or improve the current level of business management, and ensure value conservation and appreciation of the existing assets, and will not give up any due creditor’s rights. And it will not dispose of the major existing properties without compensation or in any other improper manners.
8.9 在签订本协议时，乙方没有发生任何影响本协议项下乙方义务履行的其他重大事件。
There is no other major issues that may influence Party B’s performance of obligations under the agreement upon signing the agreement.
